Terms of Service for Consignment with Fans Utopia

1. Introduction
These Terms of Service ("TOS") govern the consignment relationship between you ("Consignor") and Fans Utopia ("Company"). By consigning items with us, you agree to the following terms and conditions.

2. Consignment Process

  • Consignor agrees to provide items as outlined in our business model.
  • Items should meet all specifications provided by the Company (e.g., condition, scent, usage, etc.).
  • The Company will handle listing, promotion, customer interaction, and shipping as part of the consignment process.

3. Ownership of Items

  • The Consignor retains ownership of consigned items until the item is sold.
  • If items do not sell within a specified time period (e.g., 90 days), the Company reserves the right to return unsold items to the Consignor or re-list them at a reduced price, based on prior agreement.

4. Commission and Payment

  • The Consignor will receive 60% of the final sale price of each item sold, with 40% retained by the Company to cover service fees, marketing, and logistics.
  • Payments will be made once a month via Venmo or Zelle, as specified by the Consignor.
  • Consignor is responsible for providing accurate payment details. The Company is not liable for payment errors due to incorrect information.

5. Pricing and Discounts

  • Consignor may set the prices for their items or opt for the Company to determine pricing based on market trends.
  • The Company reserves the right to apply sales or discounts to items as part of promotional campaigns, with the Consignor's prior approval.

6. Shipping and Logistics

  • The Company will handle all shipping, packaging, and logistics. Shipping and sales tax are the responsibility of the buyer.
  • In cases where the Consignor is located outside the Greater Los Angeles area, the Company will provide a prepaid shipping label for item collection.

7. Risk and Liability

  • The Company will take reasonable care to protect consigned items while in its possession, but is not liable for any damage or loss due to unforeseen circumstances such as fire, theft, or shipping issues.
  • The Consignor agrees to hold the Company harmless from any claims arising from the sale or use of consigned items.

8. Returns and Refunds

  • All sales are final. In the rare case of a dispute or return request from a buyer, the Company will mediate the situation in line with our no-return policy.

9. Termination of Agreement

  • Either party may terminate this agreement at any time. Upon termination, any unsold items will be returned to the Consignor at their expense or disposed of based on prior agreement.

10. Marketing and Promotion

  • The Company agrees to actively promote the Consignor's items across its platforms, including social media channels.
  • The Consignor is encouraged to engage with these promotions by sharing posts and interacting with the Company’s content.

11. Special Requests and Communication

  • The Company will communicate with buyers on behalf of the Consignor and relay any special requests.
  • The Consignor must respond promptly to the Company when special requests or personalized orders are made by buyers.

12. Intellectual Property

  • The Consignor agrees to allow the Company to use photos and descriptions of items for the purpose of selling and promoting them on Fans Utopia and related platforms.

13. Governing Law

  • These terms will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

14. Dispute Resolution

  • Any disputes arising out of or related to this agreement will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
